01Acceptance of Terms

By accessing or using Utechsoft services, you agree to these Terms of Service. If you do not agree, do not use our services. These terms apply to all users, including those accessing via API. Utechsoft, Inc. is a Delaware corporation.

02Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access at [email protected].

03Acceptable Use

You may not use our services to host illegal content, send spam, conduct DDoS attacks, mine cryptocurrency without written permission, or violate any applicable laws. Violations result in immediate account suspension and may be reported to law enforcement.

04Service Availability

We aim to maintain the availability levels described in our SLA. Planned maintenance is communicated at least 24 hours in advance via our status page at utechsoft.net/status.

05Billing & Payment

Services are billed in advance on a monthly or annual cycle. All fees are non-refundable unless otherwise stated. We reserve the right to suspend services upon non-payment after a 7-day grace period.

06Termination

Either party may terminate the service relationship with 30 days written notice. Upon termination, you have 14 days to retrieve your data before it is permanently deleted.

07Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY DELAWARE LAW, UTECHSOFT'S LIABILITY IS LIMITED TO THE AMOUNT PAID FOR THE AFFECTED SERVICE IN THE 3 MONTHS PRIOR TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

08Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be resolved by binding arbitration in Wilmington, Delaware, under JAMS rules, unless you opt out within 30 days of first accepting these Terms by emailing [email protected].
